- Unfair competition. When a business is sold, one of the things the buyer will want from the seller is a covenant not to compete. Otherwise, the seller could open a similar business within a certain geographic area or use proprietary information (such as a customer list) to compete with the business he just sold.
- Violation of key employment agreements. Key employees are privy to trade secrets and other confidential information and as a result are asked to sign nondisclosure agreements.
