Attorney Mazyar H. Mazarei obtained his Bachelor of Arts degree in Political Science from the University of California, San Diego in 1999. He then received his Juris Doctorate from the Pepperdine University School of Law in 2002 where he graduated in the top one-third of his class. After passing the California bar examination on his first attempt, Mazyar gained significant experience in both litigation and transactional matters.
Mazyar has litigated cases in State and Federal court in matters involving securities fraud, personal injury, breaches of contract, insurance coverage, real estate, commercial leases, wage and hour claims, wrongful termination, sexual harassment and fraud. He has personally handled all aspects of litigation beginning with the initial client interview, to preparing case strategy, subsequent investigation and preparation of the complaint or response, defending and taking depositions, drafting and opposing motions for summary judgment, settlement negotiations and trial preparation.
On transactional matters, Mazyar has significant experience in counseling emerging and middle market companies on a variety of corporate issues, including corporate formation and governance, real estate transactions, employment and consulting, reorganizations, loan facilities, guaranties, mergers and acquisitions (including reverse mergers) and general contract law. He has also negotiated and drafted documents including stock purchase agreements, asset purchase agreements, disclosure schedules, debt instruments, warrants, assignments and assumptions.
Mazyar has acted as securities counsel to a number of AMEX, NASDAQ, Bulletin Board (OTCBB) and Pink Sheet (OTCQB) public companies as well as small privately held corporations and was involved in every phase of preparation and filing (including Edgarization) of various SEC filings including Forms 10-K(SB), 10-Q(SB), Registration Statements (SB-2, S-1, S-8, F-1, etc.), Form D, Form 8-K, Forms 3, 4, and 5, 14A, 14C and Schedule 13D and other filings. Lastly, he has prepared Private Placement Memoranda and subscription documents and aided clients in obtaining venture capital financing.
Mazyar is a member of the State Bar of California and is admitted to practice before the United States District Court for the Central District and for the Ninth Circuit Courts of Appeal. Mazyar is also an attorney-advisor to the Iranian American Psychological Association.
